    1. Introduction and Acceptance

    1.1 Scope

    These Terms of Service ("Terms") govern your access to and use of the website at beampay.tech (also accessible via beampay.co.uk) (the "Website"), and any related services, content and functionality provided by BeamPay LTD ("BeamPay", "we", "us", or "our").

    By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

    1.2 Authority

    If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

    3. Business Use Only

    3.1 B2B Service

    The Website and our Service are intended solely for business-to-business use. By accessing the Website or the Service, you represent that you are acting in the course of business and not as a consumer.

    3.2 No Consumer Service

    Unless expressly agreed in writing, BeamPay does not provide services directly to individual consumers. Where you use our technology to deliver services to your own end customers, you remain solely responsible for:

    • Your contractual terms with those end customers;
    • Required notices, consents and disclosures; and
    • Compliance with applicable consumer protection, financial promotions and regulatory requirements.

    3.3 Mandatory Laws

    If any mandatory consumer protection laws apply notwithstanding Section 3.1, these Terms apply only to the maximum extent permitted by law, and nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded.

    4. Service Description and Regulatory Perimeter

    4.1 Service Description

    BeamPay provides a white-label technology platform (including dashboards, APIs and related tooling) designed to support payment and point-of-sale workflows and integrations for banks, PSPs/EMIs and software platforms. The Service may include configuration, workflow automation, reporting, reconciliation support and integration utilities, as described in our documentation.

    4.2 Technology Provider - Not a Regulated Financial Institution

    IMPORTANT: Unless expressly stated in a separate written agreement:

    • BeamPay provides technology and integration tooling only and does not act as a bank, payment institution, electronic money institution, money service business or other regulated financial services provider.
    • BeamPay does not hold, safeguard or control client funds; operate customer accounts; or execute payment transactions as the regulated provider of record.
    • Any payment processing, issuance/acquiring, safeguarding, settlement, KYC/AML screening and other regulated activities are performed by the Customer and/or applicable third-party providers under their own terms and regulatory permissions.

    4.3 No Financial Advice

    Nothing on this Website constitutes financial, investment, legal, tax or regulatory advice, or an offer or solicitation to provide any financial product or service. You should seek independent professional advice before making any financial or business decisions.

    4.4 FCA Status

    BeamPay LTD is not currently authorised or regulated by the Financial Conduct Authority (FCA), the Prudential Regulation Authority (PRA), or any other financial services regulatory body.

    Our products and services are currently in development. Descriptions on the Website are indicative and may change. Availability may be subject to obtaining appropriate regulatory approvals and licences.

    4.5 AML/KYC and Financial Crime

    Unless expressly agreed in writing, BeamPay does not perform customer due diligence, identity verification, sanctions screening, transaction monitoring, suspicious activity reporting or other AML/KYC functions as a regulated obliged entity.

    4.6 Customer Regulatory Responsibility

    If you are a Customer using or evaluating the Service, you are solely responsible for:

    • Determining whether your business model involves regulated activities in any jurisdiction;
    • Ensuring you hold the necessary permissions, registrations and licences;
    • Complying with AML/KYC, sanctions, financial promotions and consumer protection requirements; and
    • Not misrepresenting BeamPay's regulatory status to any third party.

    4.7 Service Availability

    BeamPay does not guarantee that the Website or Service will be available at all times or without interruption.

    From time to time, the Service may be unavailable due to maintenance, upgrades, security updates, technical issues or events outside our reasonable control.

    Unless expressly agreed in a separate written agreement, BeamPay does not provide any service level commitments (SLA) in relation to the availability or performance of the Website or Service.

    5. Use of the Website

    5.1 Permitted Use

    You may use the Website for lawful purposes only. You agree not to:

    • Use the Website in any way that breaches any applicable law or regulation;
    • Attempt to gain unauthorised access to any part of the Website or its systems;
    • Introduce any viruses, trojans, worms, or other malicious code;
    • Use automated systems (bots, scrapers) to access the Website without our prior written consent;
    • Interfere with, disrupt, degrade or harm the Website, its security, availability or integrity;
    • Reverse engineer, decompile or disassemble any part of the Website, except to the extent permitted by mandatory law;
    • Reproduce, duplicate, copy, or resell any part of the Website without our express permission;
    • Use the Website to build, train or improve a competing product or service;
    • Scrape, mine, extract or harvest data from the Website except as expressly permitted; or
    • Upload, transmit or process any data that violates third-party rights.

    5.2 Accuracy of Information

    While we endeavour to keep information on the Website accurate, we make no representations or warranties about the completeness, accuracy, reliability or availability of any information.

    6. Accounts and Security

    Where you create an account to access the Service, you are responsible for:

    • Maintaining the confidentiality and integrity of your credentials (passwords, API keys, tokens);
    • Ensuring that access credentials are not shared between users;
    • Promptly removing access for leavers and role changes;
    • Enabling multi-factor authentication (MFA) where supported;
    • All activities conducted through your account; and
    • Notifying us without undue delay (and within 24 hours) of any suspected or actual unauthorised access.

    6.1 Customer Security Responsibilities

    You are responsible for implementing appropriate technical and organisational measures to protect your systems, credentials and access to the Service.

    This includes maintaining appropriate access controls, protecting API keys and authentication credentials, implementing secure internal processes, and ensuring that only authorised users access the Service.

    BeamPay is not responsible for security incidents arising from the Customer's failure to maintain appropriate security practices.

    7. Intellectual Property

    7.1 Our Intellectual Property

    All content on this Website - including text, graphics, logos, icons, images, audio, video, software and source code - is the property of BeamPay LTD or its licensors and is protected by copyright, trademark and other intellectual property laws of England and Wales and international treaties.

    BeamPay™ and the BeamPay logo are trademarks of BeamPay LTD.

    7.2 Limited Licence

    You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for legitimate business purposes, subject to these Terms.

    7.3 Restrictions

    You may not use our name, trademarks or branding in external communications or marketing materials without our prior written consent (except where required by law).

    7.4 Export Control and Sanctions

    You agree to comply with all applicable export control and sanctions laws and regulations, including those of the United Kingdom, the European Union, and the United States where applicable.

    You represent and warrant that you are not located in, organised under the laws of, or ordinarily resident in a country or territory subject to comprehensive trade sanctions, and that you are not listed on any government sanctions or restricted party list.

    8. Data Protection

    Your use of the Website and Service is governed by our Privacy Policy, Cookie Policy and, where applicable, our Data Processing Agreement ( DPA).

    Where BeamPay processes Customer Data on your behalf, we act as a processor/sub-processor in accordance with the DPA. You remain responsible for:

    • Ensuring a lawful basis and transparency for Personal Data you submit;
    • Providing required privacy notices to data subjects; and
    • Complying with Data Protection Laws applicable to your processing.

    9. Third-Party Links and Services

    The Website may contain links to third-party websites or services, and our Service may integrate with third-party providers (including banks, PSPs/EMIs, KYC/AML providers and others).

    We have no control over third-party content, policies or practices and accept no responsibility for them. Your use of any third-party service is at your own risk and subject to that third party's terms.

    10. Disclaimer of Warranties

    THE WEBSITE AND SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

    To the fullest extent permitted by law, we disclaim all warranties, including:

    • Implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement;
    • Warranties that the Website or Service will be uninterrupted, error-free, or free of viruses or harmful components;
    • Warranties regarding the accuracy, reliability or completeness of any content; and
    • Warranties regarding any regulatory or compliance outcome - BeamPay does not warrant that use of the Service will achieve any particular business, regulatory or compliance result.

    11. Limitation of Liability

    To the maximum extent permitted by applicable law:

    • BeamPay LTD shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of (or inability to use) the Website or Service, including loss of profits, revenue, data, business opportunity or goodwill.
    • Our total aggregate liability for any claims arising from or relating to the Website shall not exceed £100 or the amount you paid to us (if any) in the 12 months preceding the claim, whichever is greater.

    In no event shall BeamPay's liability exceed the liability cap set out in this Section, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise.

    Nothing in these Terms excludes or limits our liability for:

    • Death or personal injury caused by our negligence;
    • Fraud or fraudulent misrepresentation; or
    • Any other liability that cannot be excluded or limited by law.

    12. Indemnification

    You agree to indemnify and hold harmless BeamPay LTD, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to:

    • Your breach of these Terms;
    • Your use of the Website or Service;
    • Your violation of any applicable law or regulation; or
    • Your misrepresentation of BeamPay's regulatory status or capabilities.

    13. Confidentiality

    All non-public information disclosed by either party in connection with these Terms is confidential. You must protect our confidential information with at least the same care you use for your own (and no less than reasonable care), and use it only for the purposes contemplated by these Terms.

    14. Suspension and Termination

    We may suspend or restrict your access to the Website or Service (in whole or in part) where we reasonably determine such action is necessary to:

    • Protect security, confidentiality, integrity or availability;
    • Prevent, investigate or mitigate suspected abuse, fraud or unlawful activity;
    • Comply with applicable law or regulatory request; or
    • Address a material breach of these Terms.

    Where practicable, we will provide notice and restore access once the issue is resolved.

    15. Force Majeure

    BeamPay shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, cyber attacks, labour disputes, telecommunications failures, power outages, or governmental actions.

    16. Severability

    If any provision of these Terms is found to be unlawful, void or unenforceable, that provision shall be deemed severable and shall not affect the validity of the remaining provisions.

    17. Entire Agreement

    These Terms, together with our Privacy Policy, Cookie Policy and Regulatory Disclaimer, constitute the entire agreement between you and BeamPay LTD in relation to your use of the Website.

    18. Assignment

    You may not assign or transfer any rights or obligations under these Terms without the prior written consent of BeamPay.

    BeamPay may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring or sale of assets without restriction.

    19. Waiver

    No failure or delay by BeamPay LTD in exercising any right under these Terms shall operate as a waiver of that right.

    20. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of England and Wales.

    Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    21. Dispute Resolution

    Before commencing any formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute arising out of or in connection with these Terms through informal discussions.

    Each party shall notify the other in writing of the dispute and the parties shall use reasonable efforts to resolve the matter within thirty (30) days of such notice.
