    Important Regulatory Notice

    BeamPay LTD (company number 16903978) is a private limited company registered in England and Wales. BeamPay LTD is not currently authorised or regulated by the Financial Conduct Authority (FCA), the Prudential Regulation Authority (PRA), or any other financial services regulatory body in the United Kingdom or the European Union.

    This Regulatory Disclaimer is provided for informational purposes only and does not form part of any contractual relationship between BeamPay Ltd and any user of the Website.

    Regulatory Position

    BeamPay Ltd does not currently provide regulated payment services and does not operate as a payment institution, electronic money institution, credit institution or other licensed financial services provider.

    Where regulated financial services are required for a particular deployment or product, such services must be provided by authorised third-party institutions operating under their own regulatory permissions and supervisory frameworks.

    Nothing in the BeamPay Website or documentation should be interpreted as representing that BeamPay holds any licence or authorisation to conduct regulated financial activities.

    Technology Provider Status

    BeamPay provides software infrastructure and integration tooling only.

    All regulated financial services are provided by authorised institutions operating under their own regulatory permissions and legal frameworks.

    Unless expressly agreed in a separate written agreement:

    • BeamPay does not act as a bank, payment institution, electronic money institution, money service business or other regulated financial services provider.
    • BeamPay does not hold, safeguard or control client funds.
    • BeamPay does not operate customer accounts or execute payment transactions as the regulated provider of record.
    • BeamPay does not perform customer due diligence, identity verification, sanctions screening, transaction monitoring, suspicious activity reporting or other AML/KYC functions as a regulated obliged entity.

    Any payment processing, issuance/acquiring, safeguarding, settlement, KYC/AML screening and other regulated activities (if any) are performed by the relevant Customer and/or applicable third-party providers (including banks, PSPs and/or EMIs) under their own terms and regulatory permissions.

    Third-Party Services

    BeamPay may integrate with or facilitate connections to third-party service providers, including banks, payment processors, financial institutions, or compliance service providers.

    BeamPay does not control and is not responsible for the services, regulatory status, policies or performance of such third-party providers. Any relationship between a Customer and a third-party provider is governed solely by the terms agreed between those parties.

    No Financial Advice

    Nothing on the BeamPay website (beampay.tech / beampay.co.uk) or in any communications from BeamPay LTD should be construed as:

    • Financial, investment, legal, tax or regulatory advice;
    • An offer or solicitation to provide payment services, acquire financial instruments, or enter into any financial transaction;
    • A recommendation to take (or refrain from taking) any particular course of action; or
    • An approval or endorsement of any Customer's regulatory status, business model or product.

    BeamPay does not guarantee any regulatory or compliance outcome for Customers or their end users. You should always seek independent professional advice tailored to your circumstances before making any financial or business decisions.

    Products and Services in Development

    BeamPay's products and services — including its white-label POS and acquiring platform — are currently in development and not yet available for commercial use.

    Any descriptions, features, pricing, specifications or functionality mentioned on our Website or marketing materials are:

    • Provided for informational purposes only;
    • Subject to change without notice; and
    • Not a commitment or guarantee that any product or service will be made available.

    The availability of BeamPay's products and services may be subject to the granting of necessary regulatory approvals, licences and authorisations. There is no guarantee that such approvals will be obtained.

    Features labelled alpha, beta, preview or pilot (if any) are provided "as is", may be changed or discontinued, and do not represent final functionality. Any forward-looking statements regarding future products, services or regulatory status are subject to risks and uncertainties and should not be relied upon as commitments or guarantees.

    While BeamPay aims to ensure that information on the Website is accurate and up to date, the content is provided on an "as is" and "as available" basis and may be updated, modified or removed at any time without notice.

    Customer Responsibilities

    If you are a business evaluating or using BeamPay's technology:

    • You are solely responsible for determining whether your business model involves regulated activities in any jurisdiction.
    • You must ensure you hold the necessary permissions, registrations and licences.
    • You must not misrepresent or imply that BeamPay is a regulated entity, licensed provider, merchant of record, payment institution, or otherwise responsible for regulated payment services.

    BeamPay accepts no responsibility for ensuring that Customers comply with applicable regulatory or licensing requirements.

    No Warranties or Representations

    BeamPay LTD makes no representations or warranties, express or implied, regarding:

    • The future availability, features or performance of any product or service;
    • The regulatory status of BeamPay LTD at any point in the future;
    • The suitability of any product or service for your particular needs; or
    • Any regulatory, compliance or commercial outcome.

    To the fullest extent permitted by applicable law, BeamPay Ltd disclaims all liability arising from reliance on information provided on the Website or related materials.

    Regulatory Interpretation
